CCI Approves Stake Acquisition in Burger King India Operator
Competition Commission of India (CCI) has approved the acquisition of a partial stake in Restaurant Brands Asia Limited, the master franchisee operating Burger King outlets across India, by a consortium led by Lenexis Foodworks Pvt Ltd.
According to the regulator, the proposed transaction involves a combination of equity subscriptions, warrant subscriptions, equity purchases, and an open offer aimed at acquiring a strategic stake in Restaurant Brands Asia.
The acquiring consortium includes Lenexis Foodworks Pvt Ltd (LFPL), Inspira Foodworks Pvt Ltd, Aayush Agrawal Trust, Inspira Agro Trading LLC, and Aayush Madhusudan Agrawal.
Restaurant Brands Asia currently holds exclusive rights to develop, operate, and franchise Burger King restaurants across India, making it one of the country’s major quick service restaurant (QSR) operators.
Lenexis Foodworks is already active in India’s fast-growing QSR sector and operates multiple food brands including Chinese WOK, The Momo Co, and Big Bowl Co across the country.
According to the filing, Inspira Foodworks Pvt Ltd is expected to function as a strategic investment and operating platform focused on expanding LFPL’s existing QSR business operations.
The transaction highlights ongoing consolidation and investment activity within India’s organised food service and quick service restaurant industry, which continues to attract strong investor interest amid rising urban consumption and growing demand for branded dining experiences.
