Ventive Hospitality Limited has reinforced its presence in the Goa luxury hospitality market with a fresh INR 110.5-crore infusion into Soham Leisure Ventures Private Limited, the operator of the Hilton Goa Resort. The company subscribed to 1,10,50,000 optionally convertible debentures (OCDs) at a face value of INR100 each on Nov. 18, 2025, marking a significant follow-through after acquiring a 76% equity stake in Soham on Oct. 16.
Soham Leisure Ventures, incorporated in 2011, has demonstrated steady performance, with turnover rising from INR33.41 crore in FY23 to INR49.92 crore in FY25. Its flagship property, Hilton Goa Resort, remains a strong player in the state’s upscale leisure segment.
The latest infusion—classified as a related-party transaction due to Soham’s subsidiary status—was made at arm’s length and did not require additional regulatory approvals. The OCD structure gives Ventive flexibility for future equity conversion, potentially strengthening its long-term control.
For Ventive, the move underscores a clear strategy: consolidating assets in high-growth destinations and deepening operational influence at marquee properties. As Goa’s tourism market continues to rebound, the strengthened stake positions Ventive to capture rising demand across premium hospitality offerings.
